Terms & Conditions - Elohim Media House

1. Payment Terms: Payment is due immediately upon receipt of the invoice unless otherwise agreed upon in writing. Failure to make payment on time will result in a late fee of £25 plus an additional 5% of the outstanding balance per week until payment is received in full.

2. Late Payments: A late fee of £25 will be applied to all overdue balances. Failure to settle overdue balances within 30 days will result in legal action to recover the debt, with all associated legal fees borne by the client.

3. Cancellation: Cancellation of services must be made in writing at least two weeks before the scheduled event. The deposit will not be refunded for cancellations made after this time, and the client will be liable for any costs incurred by Elohim Media House up to the point of cancellation.

4. Expenses: The client agrees to promptly reimburse any expenses incurred by Elohim Media House in the provision of services, including but not limited to travel, accommodation, and materials. Failure to reimburse expenses within 14 days of invoicing will result in additional late fees and potential legal action.

5. Scope of Work: Any changes or additions to the scope of work outlined in the invoice may result in adjustments to the total cost. Elohim Media House reserves the right to revise pricing and deadlines accordingly and will inform the client in writing of any changes.

6. Copyright: All rights, including copyright, remain with Elohim Media House until full payment is received. Images captured during the event may be used for marketing purposes unless otherwise exempted. The client agrees not to reproduce, distribute, or display any materials provided by Elohim Media House without explicit written permission.

7. Dispute Resolution: Any disputes arising from this agreement shall be resolved through arbitration in England following the laws of the United Kingdom. The prevailing party in any dispute shall be entitled to recover all legal fees and expenses from the other party.

8. Liability: Elohim Media House shall not be liable for any consequential, incidental, or indirect damages arising from the provision of services, including but not limited to loss of profits, loss of data, or damage to reputation. The client acknowledges and agrees that the total liability of Elohim Media House for any and all claims shall not exceed the total amount paid by the client under this agreement.

9. Confidentiality: Both parties agree to keep confidential any proprietary or sensitive information shared during the project, including but not limited to trade secrets, business plans, and client lists. Breach of confidentiality shall entitle the non-breaching party to seek injunctive relief and/or damages.

10. Governing Law: This agreement shall be governed by the laws of England and Wales. Any legal action arising from or related to this agreement shall be brought exclusively in the courts of England, and both parties hereby consent to the jurisdiction of such courts.

11. By making payment, the client acknowledges that they have read, understood, and agree to abide by these terms and conditions. Failure to comply with any provision of this agreement may result in termination of services and legal action to recover damages.
